1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you or the organization you represent ("Customer," "you," or "your") and Adjuvex, Inc. ("Adjuvex," "we," "our," or "us"), a product of PrimeMind Labs. By accessing or using the Adjuvex platform, website, APIs, or any associated services (collectively, the "Services"), you agree to be bound by these Terms.
If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not access or use the Services.
Your use of the Services is also governed by our Privacy Policy and HIPAA Notice of Privacy Practices, which are incorporated into these Terms by reference.
2. Services Description
Adjuvex provides an AI-powered Revenue Cycle Management (RCM) SaaS platform designed for healthcare organizations including hospitals, physician practices, independent billing companies, and health plans. The Services include:
- AI-Powered Claims Analysis: Automated review of submitted claims for coding accuracy, payer-specific rule compliance, and revenue optimization opportunities.
- Denial Management: Prediction of denial likelihood using machine learning models trained on historical payer behavior, automated root-cause classification using CARC/RARC codes, and workflow tools to track and resolve denied claims.
- RADV Risk Assessment: Risk scoring for Medicare Advantage plans undergoing Risk Adjustment Data Validation (RADV) audits, including HCC capture analysis and documentation gap identification.
- Appeal Generation: AI-assisted drafting of appeal letters tailored to specific denial reasons, payer requirements, and clinical documentation.
- Multi-Payer Analytics: Comparative benchmarking of claim performance, denial rates, and reimbursement trends across payers.
- White-Label API: RESTful API access enabling integration of Adjuvex capabilities into third-party platforms, subject to API-specific terms.
We reserve the right to modify, enhance, or discontinue features of the Services at any time. We will provide reasonable notice of material changes that may adversely affect your use of the Services.
3. Account Registration and Security
To use the Services, you must register for an account and provide accurate, current, and complete information. You agree to maintain and promptly update your account information to keep it accurate and complete.
You are responsible for maintaining the confidentiality of your account credentials, including passwords and API keys. You must immediately notify Adjuvex at security@adjuvex.com of any unauthorized access to or use of your account.
You are responsible for all activities that occur under your account, whether or not authorized by you. Adjuvex will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. The following uses are expressly prohibited:
- Using the Services to commit, facilitate, or conceal healthcare fraud, including upcoding, unbundling, phantom billing, or any other fraudulent billing practice in violation of the False Claims Act, Anti-Kickback Statute, or Stark Law.
- Uploading, transmitting, or processing PHI belonging to patients for whom you are not an authorized covered entity or Business Associate, or without a valid BAA with Adjuvex.
- Attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code of any Adjuvex AI models, algorithms, or software.
- Scraping, crawling, or otherwise extracting data from the Services by automated means not authorized by Adjuvex.
- Attempting to gain unauthorized access to any portion of the Services, other customer accounts, or Adjuvex infrastructure.
- Introducing malware, viruses, or other malicious code into the Services.
- Using the Services to harass, harm, or discriminate against any individual or group.
- Reselling, sublicensing, or otherwise commercializing access to the Services without Adjuvex's prior written consent.
- Violating any applicable federal, state, or local law or regulation.
Adjuvex reserves the right to suspend or terminate your access immediately upon discovery of any prohibited use, without prior notice or liability.
5. Healthcare Compliance
The Services are designed to support healthcare compliance, but they do not guarantee compliance with any specific regulatory requirement. You remain solely responsible for ensuring that your use of the Services complies with all applicable healthcare laws and regulations, including HIPAA, HITECH, the False Claims Act, and applicable state laws.
BAA Requirement: You must execute a Business Associate Agreement with Adjuvex before submitting any PHI to the Services. Submission of PHI without a valid executed BAA constitutes a material breach of these Terms and may expose you to regulatory liability. Contact legal@adjuvex.com to obtain a BAA.
Human Review: AI-generated outputs — including denial predictions, appeal drafts, and coding recommendations — are provided as decision-support tools only. You are responsible for reviewing and approving all outputs before submitting claims, appeals, or other documents to payers or regulatory bodies. Adjuvex is not responsible for errors resulting from reliance on AI outputs without appropriate human review.
6. Intellectual Property
Adjuvex and its licensors own all right, title, and interest in and to the Services, including all AI models, machine learning algorithms, software code, user interfaces, brand assets, documentation, and aggregated analytical outputs. These are protected by copyright, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms and payment of applicable fees, Adjuvex grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes during the subscription term.
You retain all ownership of your Customer Data (including PHI). You grant Adjuvex a limited license to access and process your Customer Data solely to provide the Services and as further described in Section 8 (Data Ownership) and our Privacy Policy.
7. Subscription and Billing
Access to the Services requires a paid subscription. Adjuvex offers the following subscription tiers, subject to change with reasonable notice:
- Starter: Designed for independent practices and small billing companies. Includes core claims analysis, basic denial tracking, and standard support.
- Professional: Designed for multi-provider groups and mid-size billing organizations. Includes all Starter features plus appeal generation, RADV risk scoring, multi-payer analytics, and priority support.
- Enterprise: Designed for health systems and large billing companies. Includes all Professional features plus white-label API access, custom integrations, dedicated customer success, and SLA-backed uptime guarantees.
Subscriptions are billed in advance on a monthly or annual basis and automatically renew at the end of each billing period unless cancelled at least thirty (30) days before renewal. Annual subscriptions receive a discount and are billed upfront.
Refunds: Monthly subscriptions may be cancelled at any time; however, no refunds are issued for the current billing period. Annual subscriptions may be refunded on a pro-rata basis within the first thirty (30) days. After thirty (30) days, annual subscriptions are non-refundable. Adjuvex reserves the right to modify pricing with sixty (60) days' notice to existing customers.
8. Data Ownership
You own your Customer Data. "Customer Data" means all data, including PHI, that you submit to the Services. Adjuvex does not claim ownership of Customer Data.
You grant Adjuvex a worldwide, royalty-free license to use, host, process, reproduce, modify, and display Customer Data solely to the extent necessary to provide, maintain, and improve the Services for your account. This license terminates upon account termination, subject to our data retention obligations.
Adjuvex may use de-identified, aggregated data derived from the Services to improve our AI models and publish industry benchmarking reports. Such de-identified data does not constitute Customer Data and contains no PHI as defined under HIPAA.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ADJUVEX, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADJUVEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ADJUVEX'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO ADJUVEX IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. ADJUVEX EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ADJUVEX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
Not Legal Advice: Nothing in the Services or these Terms constitutes legal advice. Adjuvex is not a law firm and does not provide legal services. You should consult qualified legal counsel for advice regarding healthcare regulatory compliance, billing and coding requirements, and any legal obligations.
Not Medical Advice: The Services do not constitute medical advice, clinical guidance, or medical decision-making support. AI-generated outputs related to diagnosis codes, clinical documentation, or treatment must be reviewed and validated by qualified clinicians before any clinical or billing action is taken.
11. Termination
Either party may terminate these Terms and your access to the Services with thirty (30) days' written notice. You may cancel your subscription at any time through your account settings or by contacting support@adjuvex.com.
Adjuvex may suspend or terminate your access immediately and without notice if: (a) you breach any material term of these Terms; (b) you fail to pay fees when due; (c) your use of the Services poses a security risk or legal liability to Adjuvex or third parties; or (d) we are required to do so by law.
Upon termination, you may request an export of your Customer Data within thirty (30) days of the termination date. After thirty (30) days, Adjuvex has no obligation to retain or provide Customer Data, subject to our HIPAA retention obligations. Sections 6, 9, 10, 12, and 13 survive termination.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Services that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for such proceedings.
